• This Agreement is a legally binding contract between you (either an individual or a single corporate entity) and SCiLS, Zweigniederlassung Bremen der Bruker Daltonik GmbH, Fahrenheitstr. 1, 28359 Bremen, Germany (“SCiLS”) for the product SCiLS Cloud.
• Please carefully read the Agreement below before using SCiLS Cloud. The right to use the SCiLS Cloud is provided only on the condition that you agree to this Agreement. If you do not agree to the terms of this Agreement, you may not use SCiLS Cloud. Creating a SCiLS Cloud user account, uploading own data to SCiLS Cloud, or accessing publicly available data indicates your acceptance of this Agreement.
• SCiLS may revise these Terms of Services from time to time. The most recent version is always posted on our website.

License Agreement

• As an anonymous user you are able to reach publicly available data sets of SCiLS Cloud.
• As a registered user you are additionally able to reach private data sets which have been provided to your SCiLS Cloud user account. Registered users have to safeguard their password to SCiLS Cloud.
• To upload own data to SCiLS Cloud you have to activate disk quota by linking your account to a USB software protection dongle delivered with the product SCiLS Lab versions 2015a/b, 2016a/b or newer.
• The disk quota is personal to you (either an individual or a single corporate entity) as the purchaser of SCiLS Lab. You may not permit disk quota to individuals who are not member of your corporate entity. You may not sell or rent disk quota to third parties.
• You can increase your disk quota by purchasing the SCiLS Lab Maintenance Service
• The data you upload to SCiLS Cloud will remain yours. SCiLS is allowed to use them internally to operate the SCiLS Cloud services.
• Please be aware that the use of SCiLS Cloud is for scientific/research purposes only and not for business/economic purposes. By uploading data, you guarantee that you have the rights to the data, to make these data available to the public, and to upload it. The users and not SCiLS are responsible for the content. You further guarantee
  • to have made back-up copies of each of your data and to prepare screenshots of each data you have changed or otherwise processed on SCiLS Cloud.
  • not to upload confidential data, or Know-how, or any other data that once it should become known or available to the public could result in harm, damages e.g. or any other disadvantage in any manner on your side.
• You agree to indemnify, defend, and hold harmless SCiLS, its representatives, officers, employees from and against any claim by third parties arising or resulting out of your breach of the guarantees given and any other breach of this Agreement you commit.
• Initially, uploaded data is not available to the public or to other users. On this basis, later users have the ability to share data with others like certain SCiLS Cloud users or with the pubic.
• You agree not to misuse the SCiLS Cloud services, for example, you must not access non-public data of the services or must not overcharge or flood the servers.
• You agree not to circumvent disk quota limits.
• SCiLS reserves the right to suspend users from SCiLS Cloud and to delete data if the SCiLS Cloud services are misused.
• SCiLS Cloud is applicable for research use only. Not for use in diagnostic procedures.

Privacy Policy

• When you register a user account at SCiLS Cloud we will collect information as your name and your email address.
• When you share data with new users we will collect information as name and email address of new users.
• SCiLS collects this personal data for internal purposes only. All personal data and the user password is stored encrypted. We will not disclose your personally data to any third party.

• We work hard to provide you with a reliable and unique service, however, SCiLS does not make warranties about the services.
• SCiLS does not warrant that the operation of SCiLS Cloud will be uninterrupted or error free.
• SCiLS reserves the right to suspend SCiLS Cloud features or services the Services without notice.
• At any time you may cancel your SCiLS Cloud account, however, you won't be issued a refund.
• In no event shall SCiLS be liable for any direct, indirect, special, incidental, or consequential damages (including loss of use, data, profit, business, incidental or accidental disclosure of data) whether based on warranty, contract, tort, or any other legal theory.
• This Agreement shall exclusively be governed by and construed in accordance with German Law excluding its conflict of law provisions. Exclusive place of jurisdiction for all disputes between the Parties arising from or in connection with this Agreement or its validity (including disputes relating to claims under the law of torts), for which there is no other exclusive place of jurisdiction, shall be Bremen.
